Aren Vision ("the Software") is the online payroll processing software and cloud-based platform provided by Aren Software Limited ("Aren Software"), a Kenyan company with offices at 3rd Floor, Titan Complex, Chaka Road, Kilimani, Nairobi.
Aren Software provides access to the Software at the Internet address https://aren.software/vision ("the Service Site").
A User accesses the Software by registering for an Account ("User Account") at the Service Site using the User Registration form at https://aren.software/vision/register.
The Terms of Service & Use set out the terms and conditions upon which Aren Software will provide access to the Software to the registered User specified in the Username field of the User Registration form.
The Terms of Service & Use are a legally binding Agreement between Aren Software Limited and the User which is considered to be executed as follows:
As use of the Software is subject to all the terms and conditions in this Agreement, the User must read these carefully before concluding registration as a user. By using the Software, the User accepts these terms. If the User does not agree to be legally bound by this Agreement, each in their entirety and without modification or addition, they must not access or use the Software in any way.
Aren Software may update this Agreement it at any time and post the most recent version on the Service Site. If the User accesses or uses the Software after Aren Software has posted an amended version of this Agreement on the Service Site, or sent it by email to the User, the User will be deemed to have accepted and agreed to be bound to the amended version of this Agreement and any subsequent amendments to it.
For convenience only, the date on which this Agreement was last amended is shown below the main heading of the Agreement.
Registration: To use the Service, Users must create a User Account by providing accurate and complete information. The User is solely responsible for maintaining the confidentiality of the account credentials and for all activities that occur under their account.
Security: The User shall use strong passwords and notify Aren Software immediately of any unauthorised use of their account.
Verification and Recovery: Aren Software may require the User to verify their account information. Aren Software will also provide reasonable assistance in recovering the account in case of forgotten credentials, but cannot guarantee account recovery in all situations.
Restrictions: The User may not share or transfer their account to others. Aren Software reserves the right to suspend or terminate accounts that violate these Terms of Service & Use or engage in prohibited activities.
Organisations. The User may use the Software to process payroll data for one or more Employers. Each employer is represented within the Software by an Organisation.
To process the payroll data for a particular Organisation, the User must first log into the Software and create a new Organisation from within the Software. Each Organisation must have an active Subscription for the User to access its data.
A User who creates an Organisation has full and unrestricted access to its data. A User with full access to an Organisation may, at any time: 1) grant any other User of the Software, full or partial access to that Organisation; 2) change the access level of any other User who already has access to the Organisation; and 3) withdraw a User's access to the Organisation.
Subscriptions. The Software offers two types of Subscriptions, that is, free Trial Subscriptions which are thirty (30) days long and non-renewable, and Paid Subscriptions which last twelve (12) months and are renewable.
Trial Subscriptions are activated automatically when the User creates a new Organisation within the Software. Paid Subscriptions are activated by Aren Software upon request by the User, subject to the payment of a Subscription Fee.
Paid Subscriptions. Once the Trial Subscription for a particular Organisation expires, the User requires a Paid Subscription to access the data for that Organisation. A Paid Subscription is for a specific Organisation and cannot be used to access data for any other Organisation.
Each Paid Subscription is for a term of twelve (12) months and is renewable for subsequent terms of twelve (12) months each.
Subscription Pricing. Paid Subscriptions are priced in Tiers based on the number of employees in an Organisation. The Subscription Fee charged to the User by Aren Software will include applicable taxes (VAT). The User is responsible for paying to Aren Software the Subscription Fee corresponding to the pricing Tier they select, or otherwise agree with Aren Software.
The User may increase the number of employees covered and move to the next pricing Tier at any time. Aren Software will, upon notification of this change, invoice the User for the applicable additional Subscription Fee, prorated from the month the new pricing Tier is triggered until the end of the Paid Subscription term. The User must make payment within thirty (30) days of the Invoice date.
If the User wishes to reduce the number of employees covered and drop down a pricing Tier, the Subscription Fee will be calculated for the next Paid Subscription term to take account of the reduced number of employees covered. The User shall not receive any refund for the current Paid Subscription term.
The Subscription Fee will be based on Aren Software's current price list. Aren Software reserves the right to increase the Subscription Fee annually on 1 January, or on the renewal of the Paid Subscription term. Aren Software shall give the User reasonable written notice prior to the commencement of the Paid Subscription term of the amount by which the Subscription Fee will increase.
Payment Terms. The User shall annually, before the anniversary date, make payment in advance for the renewal of the Paid Subscription. Aren Software will send the User a reminder sixty (60) days and thirty (30) days before the Paid Subscription term ends.
For each Paid Subscription term, the Subscription Fee must be paid in advance and in full, before Aren Software grants the User access to the Organisation to which the subscription pertains. The User shall not receive any refunds for any Subscription Fee paid if the User Account is suspended or closed before the end of a Paid Subscription term.
This Agreement shall remain in force as long as the User Account remains open. The Account may be closed by Aren Software of its own volition ("Termination"), or on the request of the User ("Cancellation").
Cancellation: The User may cancel this Agreement at any time by requesting Aren Software to close their Account, either in writing or through the Software. Upon such termination, neither party will have any further obligation to the other. Aren Software will not provide any refunds for any unexpired Paid Subscriptions associated with the User Account.
Termination: Aren Software may terminate or suspend the User's account at any time and for any reason, including but not limited to the User's breach of these Terms of Service & Use, non-payment, or account inactivity. Aren Software will provide thirty (30) days notice before termination, except in cases of severe violations.
Consequences of Termination: The User is entitled to extract their data before the end of this Agreement. However, the User's failure to extract their data will not prevent this Agreement from ending. Upon termination, the User's right to use the Software will immediately cease. Aren Software may delete the User's account and data, and they will not be eligible for any refunds.
Survival of Provisions: The following provisions will survive termination: Acceptance of Terms, Confidentiality, Disclaimer of Warranties, Limitation of Liability & Indemnity, Entire Agreement and Governing Law & Jurisdiction.
Data Protection: The Parties agree that the User will use the Software to process payroll data in accordance with this Agreement and the Data Protection Act, 2019. The Act includes provisions for how personal data (like employee tax IDs) is processed, stored, and protected, often requiring the User to have obtained employees' consent.
Confidential Information: The User may have access to confidential information through the Software. The User agrees to keep such information confidential and not to disclose it to any third party without Aren Software's prior written consent. This confidentiality obligation does not apply to information that is publicly available, independently developed by the User, or rightfully obtained from a third party without any confidentiality restrictions. The User must maintain the confidentiality of their own login credentials.
Privacy and Security: Aren Software respects the User's privacy and confidentiality. The User understands and agrees that they use the software at their own risk and that the use of any online software, including this Software can expose them to security and privacy breaches. While Aren Software will take all reasonable precautions to ensure that the Software is secure, it cannot be liable for any loss or damage the User suffers because of the unlawful access or interception of any User information.
The User, by maintaining the confidentiality of their username and password, is responsible for ensuring unauthorised third parties do not access the system using their account.
Proprietary Rights. All intellectual property rights in the Software, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by or licensed to Aren Software.
Aren Software grants the User limited, non-exclusive access to and use the Software for the User's internal business purposes, subject to these Terms of Service & Use. The User shall access the Software solely through the Service Site, and may not be reproduce the Software or use it for any other purpose.
Disclaimer of Warranty.The Software is provided for use AS IS. The User bears the risk of using it. Aren Software gives no express warranties, guarantees or conditions. The User may have additional consumer rights under their local laws which this Agreement cannot change. To the extent permitted under their local laws, Aren Software excludes the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Aren Software is not giving any financial or tax advice in its provision of the Software to the User. By accessing and using the Software, the User shall be solely responsible for any tax liability or any other penalties that may arise as a result of using the Software and the transactions contemplated by this Agreement.
Limitation of Liability. In no event shall Aren Software or its directors, employees or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with the User's use of or inability to use the Software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Aren Software's total liability to the User for all claims arising out of or in connection with the Software shall not exceed the amount paid by the User to Aren Software for the subscription to the Software in the twelve (12) months prior to the event giving rise to the claim.
Indemnity. The User agrees to indemnify, defend, and hold harmless Aren Software, its directors, employees or agents from any claims, liabilities, damages, or costs (including legal fees) arising from the User's use of the Software, the User's violation of these terms, or the User's violation of any third-party rights.
The User also agrees to fully waive and hold Aren Software harmless from any claims resulting from any lawful action taken by Aren Software as a result of any lawful investigation by law enforcement authorities, court order or summons.
Force Majeure. Neither party shall be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, war, terrorism, riots, government actions, lockouts, pandemics, epidemics, lockdowns or industrial labour disputes and strikes.
These Terms of Service & Use constitute the entire Agreement between the User and Aren Software regarding the use of the Software and supersede all prior or contemporaneous communications and proposals, whether oral or written.
These Terms of Service & Use and the User's use of the Software shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of laws provisions.
